These Terms of Use ("Terms") govern your access to and use of the VectraGuard vulnerability scanning platform ("Service") operated by VectraGuard Security, Inc. ("VectraGuard," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Account Registration
To use VectraGuard, you must create an account with accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
3. Acceptable Use
3.1 Authorized Scanning Only
You may only scan targets (IP addresses, domains, URLs, applications) that you own or have explicit written authorization to test. Unauthorized scanning of third-party systems is prohibited and may violate computer fraud laws.
Warning: You are solely responsible for ensuring you have proper authorization before initiating any scan. VectraGuard is not liable for unauthorized scanning conducted through the Service.
3.2 Prohibited Activities
You agree not to:
- Use the Service to attack, disrupt, or damage any system or network
- Attempt to access other users' data or organizations
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service for any illegal purpose or in violation of any applicable laws
- Resell, sublicense, or redistribute access to the Service without authorization
- Circumvent rate limits, usage quotas, or security controls
- Upload malicious content or use the API to conduct denial-of-service attacks
- Use automated means to create accounts or abuse the free tier
4. Service Plans and Billing
4.1 Plans
VectraGuard offers Free, Pro, and Enterprise plans with varying features, scan limits, and data retention periods. Plan details and pricing are available on our website and are subject to change with 30 days' notice.
4.2 Payment
Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by law. If payment fails, we may suspend your access after a 7-day grace period.
4.3 Usage Limits
Each plan has defined limits on targets, scans per month, and data retention. Exceeding these limits may result in throttling or a requirement to upgrade your plan.
5. Intellectual Property
5.1 Our Property
The Service, including its software, design, documentation, and all related intellectual property, is owned by VectraGuard. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
5.2 Your Data
You retain ownership of all data you submit to the Service (targets, configurations, etc.) and all scan results generated for your organization. We do not claim ownership of your data.
You grant us a limited license to process your data solely to provide and improve the Service.
6. API Access
API keys grant programmatic access to the Service and are subject to these Terms. You must:
- Keep API keys confidential and rotate them regularly
- Not exceed documented rate limits (currently 100 requests per minute per key)
- Not share API keys or embed them in client-side code
- Revoke keys immediately if compromised
We reserve the right to revoke API keys that are used in violation of these Terms or that pose a security risk.
7. Data Processing
We process your data in accordance with our Privacy Policy. For organizations subject to GDPR or similar regulations, we offer a Data Processing Agreement (DPA) upon request for Enterprise plan customers.
8. Service Availability
We strive for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (with advance notice when possible)
- Emergency security patches
- Infrastructure provider outages
- Force majeure events
Enterprise plan customers may have specific SLA terms documented in their service agreement.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:
- The Service will detect all vulnerabilities in your systems
- Scan results will be free from false positives or false negatives
- The Service will be uninterrupted, error-free, or secure
- Remediation guidance will resolve all identified issues
VectraGuard is a tool to assist your security program — it does not replace professional security assessments, penetration testing, or compliance audits.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VECTRAGUARD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify and hold harmless VectraGuard from any claims, losses, or damages (including legal fees) arising from:
- Your use of the Service
- Unauthorized scanning of systems you do not own or have permission to test
- Your violation of these Terms or any applicable law
- Your organization's failure to remediate identified vulnerabilities
12. Termination
You may terminate your account at any time from the Settings page. We may terminate or suspend your account if you violate these Terms, with or without notice depending on severity.
Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow for export, after which it will be permanently deleted.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
14. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
